This End User Licence Agreement ("EULA") governs access to and use of the Ashbridge Client Portal.
1. What this agreement covers
The Ashbridge Client Portal is software used to help deliver Ashbridge's tax, accounting, bookkeeping and related services.
This EULA governs the portal and your use of it.
Your professional services are governed by your engagement letter and any applicable Quote and Service Terms. Our handling of personal information is governed by our Privacy Policy and applicable law.
If the documents address the same issue differently:
- the engagement letter governs the scope and delivery of professional services, professional fees, professional responsibilities and service-related dispute terms;
- this EULA governs access to and use of the portal; and
- the Privacy Policy governs Ashbridge's handling of personal information, subject to applicable law.
Nothing in this EULA reduces Ashbridge's professional obligations in providing accounting or tax services.
2. What the portal does
The portal may allow you to:
- answer onboarding and year-end questions;
- provide or review documents;
- connect approved third-party services;
- provide information needed for tax, accounting or bookkeeping work;
- see requests for outstanding information; and
- view progress or status information relating to your engagement.
The portal is a delivery and communication tool.
A calculation, status, automated message, draft question or other item displayed by the portal is not, by itself, final accounting, tax or legal advice. Professional advice comes from Ashbridge through the applicable engagement and review process.
3. Who may use the portal
The portal may be used by:
- the adult client or company representative Ashbridge establishes as the primary user; and
- adult delegates the primary user is authorized to add.
Ashbridge does not create portal accounts for minors.
A primary user is responsible for choosing delegates carefully and for ensuring that each delegate is authorized to access the client information made available through the portal.
Tell Ashbridge promptly when a delegate's access should be removed.
Ashbridge may limit certain functions to the primary user, including functions that require a particular person's legal or regulatory authorization.
4. Acceptance
Each person who uses the portal must accept the version of this EULA presented to them.
Ashbridge may record the user, date, time and EULA version associated with acceptance.
If you do not agree to this EULA, do not use the portal. Contact Ashbridge and we will determine whether an appropriate alternative way of exchanging information is available for your engagement.
5. Access links and account security
The portal may use single-use or time-limited links sent by email or text message rather than a conventional password.
Treat an unused portal link as confidential.
You agree to take reasonable care to:
- not forward an access link to another person;
- not post an access link in a shared location, public channel or group chat;
- protect access to the email address and mobile number used for your portal access;
- keep your contact information current; and
- notify Ashbridge promptly if you believe an access link or portal session has been used by the wrong person.
If you report a suspected compromise, Ashbridge may cancel outstanding links, end sessions or take other reasonable protective steps.
You are responsible for reasonable precautions within your control. Ashbridge remains responsible for the security controls it operates and for obligations imposed on it by applicable law.
6. Acceptable use
Use the portal only for a legitimate Ashbridge engagement for which you are an authorized user.
You must not:
- attempt to access another client's information or a part of the system you were not authorized to use;
- probe, scan or test the portal for vulnerabilities without written authorization;
- attempt to bypass access controls or other security features;
- upload malware or intentionally harmful code;
- upload material you do not have the right to provide;
- copy, rent, resell or commercially redistribute access to the portal;
- reverse engineer, decompile or attempt to extract source code except where a legal right to do so cannot be excluded;
- use automated tools to scrape or bulk-download the portal without permission; or
- use the portal unlawfully.
Ashbridge may suspend or restrict access where we reasonably believe this section has been breached or where doing so is reasonably necessary to protect clients, data, the portal or Ashbridge.
7. Connections you authorize
QuickBooks Online
If you connect QuickBooks Online, you authorize Ashbridge to access accounting information through Intuit's API for the purposes of your engagement.
The Ashbridge integration is configured for read access for this workflow. Ashbridge does not use the integration to post or make changes to your QuickBooks Online books.
You may revoke the connection through the portal where available or through the Apps area of your QuickBooks Online company.
Revocation stops future access through the connection. It does not require deletion of information Ashbridge has already received and is required or permitted to retain as part of the engagement.
Canada Revenue Agency
Where you separately authorize Ashbridge as your representative, Ashbridge may obtain information from the Canada Revenue Agency for your engagement.
CRA authorization is governed by the applicable CRA authorization process and is separate from merely accepting this EULA.
Other services
Ashbridge uses technology providers to operate the portal and related workflow, including Google Workspace, Supabase, Netlify, Resend, Twilio, Stripe, Sentry and the Anthropic API.

8. Your information and content
Your documents and information remain yours, subject to any professional rights Ashbridge has in its own working papers, templates, analyses and other materials.
You give Ashbridge permission to collect, copy, store, review, transform and otherwise use information you provide to the extent reasonably necessary to:
- perform your engagement;
- operate and secure the portal;
- comply with legal and professional obligations; and
- exercise rights or responsibilities described in the engagement letter, Privacy Policy or applicable law.
You represent that you have authority to provide the information and access you give Ashbridge, including information concerning shareholders, employees, family members or other people.
Ashbridge does not sell client information and does not share one client's information with another client.
Personal information is handled under the Ashbridge Privacy Policy.
9. Ashbridge intellectual property
The portal, its design, software, branding and Ashbridge-created content are owned by Ashbridge or its licensors.
While you are an authorized client or delegate, Ashbridge gives you a limited, personal, non-exclusive, non-transferable and revocable right to use the portal for the applicable engagement.
This licence does not transfer ownership of the portal or its underlying software.
Ashbridge and its licensors retain all rights not expressly granted.
If you voluntarily provide suggestions or feedback about the portal, Ashbridge may use that feedback without payment or obligation to you.
10. Availability and support
Ashbridge intends to keep the portal reasonably available, but does not promise uninterrupted or error-free operation.
The portal may be unavailable because of maintenance, technical faults, third-party outages, security measures or circumstances outside Ashbridge's reasonable control.
If the portal is unavailable and a filing or engagement deadline is approaching, contact Ashbridge so that another reasonable method of providing the required information can be considered.

11. Software disclaimers
The portal is provided as a tool supporting Ashbridge's professional services.
To the maximum extent permitted by law, Ashbridge does not promise that the portal will always be uninterrupted, error-free or compatible with every device or third-party system.
Information obtained through QuickBooks Online, the CRA or another third party may be incomplete, delayed or affected by the accuracy or availability of that third party's systems.
Figures, calculations, classifications, prompts, status indicators and other information displayed in the portal before Ashbridge completes its professional review may be preliminary working information.
These software disclaimers apply to the portal as technology. They do not disclaim Ashbridge's professional standard of care or responsibilities for professional services provided under an engagement letter.
Any warranty or obligation that cannot lawfully be excluded remains unaffected.
12. Limitation of liability for the portal
This section applies only to claims arising from the portal as software. It does not replace or change the liability provisions governing Ashbridge's professional accounting, tax or bookkeeping services under the engagement letter.
To the maximum extent permitted by law:
- Ashbridge is not liable for indirect, incidental, special, punitive or consequential loss arising solely from use or unavailability of the portal, including loss of profit or business opportunity, except where that exclusion is prohibited by law; and
- Ashbridge's aggregate liability for direct loss arising solely from the portal will not exceed the fees paid to Ashbridge for the engagement to which the portal use relates during the 12 months immediately preceding the event giving rise to the claim.
This section does not limit:
- liability for professional services, which is governed by the engagement letter;
- Ashbridge's obligations under applicable privacy or data-protection law;
- fraud or wilful misconduct; or
- any liability that cannot lawfully be limited or excluded.
Nothing in this section expands a right or remedy that would not otherwise exist.
13. Suspension and termination
You may stop using the portal at any time.
Ashbridge may suspend or end portal access where:
- the engagement ends;
- access is no longer required;
- this EULA is materially breached;
- there is a security concern;
- continued access may put client information or the system at risk; or
- Ashbridge is legally or professionally required to restrict access.
Ending portal access does not automatically terminate an engagement unless the engagement letter or Ashbridge separately says so.
When access ends, Ashbridge may revoke active sessions and links and retain records in accordance with the Privacy Policy, engagement letter and applicable legal and professional obligations.
Sections relating to information, intellectual property, disclaimers, liability and dispute matters continue to apply where their nature requires them to survive termination.
14. Changes to this EULA
Ashbridge may update this EULA to reflect changes in the portal, security requirements, legal obligations or business practices.
The current version will identify its last-updated date.
For minor administrative or clarifying changes, posting the updated EULA may be sufficient.
If a change is material to your rights or obligations, Ashbridge will provide reasonable notice and may require you to accept the updated EULA before continuing to use the portal.
A material change to liability, dispute-resolution or similarly important contractual rights will not be imposed solely through unnoticed continued use.
Where a change is reasonably necessary to address an urgent security or legal requirement, Ashbridge may make it effective sooner and provide notice as appropriate.
15. Governing law and disputes
This EULA is governed by the laws of the Province of Ontario and the federal laws of Canada applicable there.
Disputes concerning professional services, professional fees or professional responsibilities remain subject to the dispute-resolution provisions in the applicable engagement letter.
For a portal-specific dispute not governed by an engagement-letter dispute provision, the courts of Ontario may exercise jurisdiction, subject to any law or binding agreement that requires another process.
